Think you missed the deadline to invest in an OZ Fund after selling an LLC last year? You may still have a chance

Suppose you profited from selling a limited liability company in early 2022 and want to invest your capital gains into an Opportunity Zone Fund. In that case, good news: The window to invest your gains into a fund like ours may still be open.

For individuals with capital gains from the sale of stock or real estate, their deadline to invest those realized profits is 180 days from the date of their capital gains event — in most cases, the date of the sale. However, people who sold a limited liability company have what we call a “second bite of the apple”; they can invest their profits within 180 days from the date of their capital gains event or in the 180 days following the last day of their tax year.

Because most businesses’ tax year is the same as their calendar year, if one sold a business in 2022, it would likely have until June 30 of this year to invest its gains into an Opportunity Zone Fund and reap the potential benefits. This second 180-day investment period extends the deadline to invest for people who sold a business between Jan. 1, 2022, and Sept. 1, 2022; this group’s first 180-day window has already closed.

Business partnerships that sold real estate last year also get a second bite of the apple. A partnership has the option to do a 1031 exchange with their capital gains, but such deals can be challenging because they require all the business partners to commit to a 1031, agree on a list of one or more replacement properties within 45 days from the date of sale, and acquire a property from that list over the ensuing 180 days.

Conversely, the only thing a business partnership’s partners, shareholders and beneficiaries must agree on when investing capital gains into an Opportunity Zone Fund is the start date of their 180-day investment period. That date can be the last day of the partnership’s tax year, the entity’s tax deadline for the year it realized the gain, or the date its property sale closed.

Opportunity Zone Disclosures
